American Specialty Health Incorporated is seeking a Corporate Paralegal to work with our Legal and Contracts department. This position will provide support to the in-house legal team, including administrative support, research, and other functions and provide similar support to the other departments that report to Legal.

Hourly Salary Range
American Specialty Health complies with state and federal wage and hour laws and compensation depends upon candidate's qualifications, education, skill set, years of experience, and internal equity. $25.40 to $29.00 Hourly Wage Range.

Remote Worker Considerations

Candidates who are selected for this position will be trained remotely and must be able to work from home in a designated work area with company-provided technology equipment. This remote/WFH position requires you have a stable connection to your Internet Service Provider with the ability to participate by video in online meetings over a reliable and consistent network (minimum internet download of 50 Mbps and 10 Mbps upload speed).

Responsibilities

  • Formation, maintenance, and dissolution of corporate entities (corporations, LLC's, etc.) and prepare related organizational documents.
  • Draft Bylaws, Certificates of Incorporation, Officers Certificates, memos, and other ancillary documents.
  • Corporate records management and conduct due diligence reviews.
  • Draft and file corporate and/or securities filings.
  • Maintaining intellectual property portfolio.
  • Stock option plan implementation and administration.
  • Prepare stock certificates as well as maintain capitalization tables and option records.
  • Research various legal projects.
  • Assist counsel with litigation and tracking.
  • Assist counsel with communications and other non-business duties.
  • Assist Legal Operations Manager as needed with legal operations and other administrative functions
  • Work with other members of the Legal Team on special projects and initiatives.
  • Performs other duties as assigned to support the efficient operation of the department.
  • Strong editing and written communication skills.
  • Strong organizational skills and attention to detail.
  • Updates job knowledge by participating in educational opportunities; reading professional publications.
  • Communicate with outside counsel and opposing party legal offices.

Qualifications

  • Bachelor's degree preferred. High school diploma required.
  • Paralegal certificate preferred.
  • A minimum of 2 years of Corporate Paralegal experience required.
  • Prior experience in corporate formation, corporate governance, document management, UCC search/filing matters required.
  • Proficient with Adobe and MS Office Suite, including Outlook, Word, Excel, Teams, PowerPoint, and SharePoint.
  • Strong legal research skills to identify and resolve issues.
  • Advanced knowledge in online research and internet search resources (Lexis Nexis/Westlaw).
  • Advanced knowledge of corporate practice-area-specific procedures and terminology.
  • Reliability, efficiency, teamwork, professionalism, ability to multi-task, and strong attention to detail are essential.
  • Ability to work in a fast-paced, deadline-driven environment.

Physical Requirements

Ability to speak, see and hear other personnel and/or objects. Ability to communicate both in verbal and written form. Ability to travel within the facility. Capable of using a telephone and computer keyboard. Ability to lift up to 10 lbs.
