Overview

The Associate General Counsel, Corporate (Tax and Finance) is a member of the Office of General Counsel/Legal Department reporting directly to the Institute’s Senior Counsel.  The Associate General Counsel, Corporate (Tax and Finance) provides legal advice and representation to the Institute, its executives, employees and the Board of Trustees on a broad range of legal matters arising in connection with tax, non-profit status, regulatory, and finance matters.  The Associate General Counsel, Corporate (Tax and Finance) serves as primary counsel to the Finance and Tax Departments.

Responsibilities

The Associate General Counsel, Corporate (Tax and Finance) will concentrate their efforts on tax, finance and general corporate matters, including:

Advising senior members of the Tax and Finance Departments.

  • Evaluating and counseling on complicated Federal and state tax matters impacting the Institute’s operations and strategic initiatives.
  • Assessing and advising on tax considerations for contracts and transactions, and implications on the Institute’s tax-exempt status.
  • Advising on compliance issues related to tax-exempt bond financings and supporting the Tax and Finance Departments in bond issuances and other debt financings.
  • Assisting with the Institute’s tax and finance-related Federal, state and local filings, including, but not limited to, Federal IRS Form 990, Massachusetts Form PC, Form 5500 annual returns/reports of employee benefit plans and state abandoned property filings.
  • Advising on executive compensation and benefits matters; and
  • Advising on sensitive matters involving conflicts of interest, corporate governance, audits, and tax exemption.

OTHER DUTIES AND RESPONSIBILITIES:

The Associate General Counsel, Corporate (Tax and Finance) may handle other matters in the Office of General Counsel/Legal Department from time to time, including:

    •  Providing risk management advice.
    • Reviewing, drafting and negotiating contracts.
    • Advising on real estate leasing, licensing and landlord-tenant dispute resolution matters.
    • Drafting and reviewing Institute policies.
    • Supporting and counseling various Board-level and Institute (management) committees; and
    • Managing and strategically directing outside counsel as needed.

Qualifications

MINIMUM JOB QUALIFICATIONS:

Minimum Education:

Juris Doctor from accredited law school required. 

Minimum Experience:

8-10 years of relevant legal experience required, with a concentration in tax, tax exemption, and finance matters, preferably in a law firm or corporate legal department setting.  Significant experience counseling clients on tax and finance matters in non-profit, tax-exempt organizational settings.  Familiarity with academic, research and patient care operations strongly preferred.  Some experience advising on real estate matters is desired.

Certification/License/Registration:

Massachusetts bar membership required.

KNOWLEDGE, SKILLS, AND ABILITIES REQUIRED:

  • Strong knowledge of applicable state and Federal laws and regulations, strong understanding of the Institute’s activities and mission and the health care, academic and research contexts in which the Institute operates.
  • Ability to understand, articulate and manage the interaction between business risk and legal risk.
  • Significant experience counseling clients on tax considerations for tax-exempt, charitable organizations.
  • Outstanding written and verbal communication skills.
  • Strong organizational skills and ability to prioritize tasks.
  • Strong client service ethic and professionalism.
  • Advanced skills at drafting for legal filings, correspondence, contracts and other documents.
  • Presentation skills and experience.
  • Ability to work independently, with attention to detail, discretion, diplomacy and ability to exercise significant judgment.

SUPERVISORY RESPONSIBILITIES:  Supervises junior attorneys and support staff.

PATIENT CONTACT:      Works throughout the Institute and partner hospitals in a variety of settings with possible exposure to infectious disease through airborne transmission.
